General Terms and Conditions

**TERMS AND CONDITIONS **

By paying your monthly/annual membership you acknowledge and agree to be bound by these terms and conditions ("Conditions"). These Conditions constitute the entire agreement between you and Derby Museums (hereinafter "We", or "Us"). Please read these Conditions and keep a copy for your records.

These Conditions cover the relationship between you and Us, and covers those matters governing your membership of the Museum of Making community ("Membership"), and your use of the co-working spaces operated by Us.

These Conditions apply from the date on which you become a Museum of Making member, at which time you agree to accept these Conditions and shall pay your first membership fee ("Fee"). These Conditions shall continue to apply until the date that your membership ends (for whatever reason).

Your Membership with Us means that you are part of the creative community and can access shared workspaces with other members. These Conditions are necessary so that your Membership with Us can be beneficial and supportive for all.

COMMUNITY GUIDELINES

Being Respectful and Responsible for Ourselves and Others

  • Please respect the workspaces and others working within them.
  • Please use the Wi-Fi responsibly and within the law.
  • We can’t allow pets, save for support dogs.
  • This is a museum open to the public and We also have volunteers in our workshops, so please kindly be mindful of noise levels and language.
  • Please be polite and courteous to other members and staff at all times.

Letting Us know if there is a Problem

  • If something needs fixing or replacing at the space, or you need any help please ask by speaking to a member of staff.

Timely Financial Arrangements

  • Membership to be paid on time, by card payment.
  • Workspace hire costs (The Prospect hot desks or workshop machinery) to be paid for in full at the time of booking.

If you breach the Community Guidelines

  • We would really hate to have to ask you to leave, but we reserve the right to do so, in our sole discretion. We further reserve the right to refuse service to anyone.

THE PROSPECT WORKSPACE GUIDANCE

  • If you are using a hot desk within The Prospect, feel free to sit at any available desk space.
  • There are lockers for storage , however any items are left in lockers at placed at your own risk.
  • Please clear your desk and locker of all belongings (if used) at the end of each day.
  • Please leave the desks as you find them, free from rubbish and clean.
  • Please wash up any used cups/dishes and keep the space tidy and clean.

MOM WORKSHOP GUIDELINES

  • You must adhere to the appropriate health and safety guidance when working in the workshop, these will be provided to you and discussed with you during your workshop induction, and can be accessed on the Nexudus members portal.
  • The Workshop must have a member of staff present, please do not use any machinery without a member of staff present.
  • Please clean and tidy away any mess at the end of your session.

MEMBERS RESPONSIBILITIES

Working in the Spaces

  • Please take care of the building and the objects it contains like you would with your own belongings in your own home.
  • Never share door access or internet access with anyone. Your access and login are for you only.
  • The kitchenette located within The Prospect workspace is for use by members using the hot desks. Please treat the kitchens as you would at home, keeping it clean and tidy, putting away dishes after use.
  • Be responsible and respectful with your internet usage. No bittorrent or illegal activities.
  • Don’t use drugs, drink alcohol or smoke whilst in The Prospect or MoM workshops.
  • Please leave the spaces as you find them.

Working with other Members

  • Respect other people’s privacy, confidentiality, safety, property and data.
  • We don’t expect everyone to work in quiet library conditions, however, we do ask you to be respectful of the people around you.
  • Anyone who behaves in a manner that is destructive to the space or the members may be asked to leave. If anyone in our space makes you feel uncomfortable, bring it to our attention immediately.

Looking after your Property

  • Equipment and professional liability are your own responsibility.
  • Please back-up your data. If we have a power outage or the internet goes down, we’re not responsible for any work you may lose.
  • You are responsible to keep your own customer data safe. You will be working in an open space, so it is your responsibility to secure your laptop / personal information / paperwork accordingly.
  • Please be respectful towards other members' property, as you would expect them to be towards yours.

Problems within the Spaces

  • Please bring problems with Wi-Fi, printing, plumbing, electrical, door access, flooding, broken items, natural disasters, toilet paper etc. to the attention of Derby Museum staff as soon as you notice them, we need to know so that we can fix them!

Parking / Transport

  • There is car parking offsite nearby at the Assembly Rooms, Bold Lane and Chapel Street car parks. Parking cards can be validated at the Museum of Making to give a discounted rate of £2.50 per day.
  • There are 4 accessible parking bays on Silk Mill Lane which are for use by Blue Badge holders only.
  • A bike rack is located outside the museum for you to use at your own risk. You are responsible for locking up your bike appropriately, We take no responsibility for any damage or losses.

PAYMENTS AND CANCELLATIONS

  • Membership Fees are displayed on our website and Members portal (including VAT at the prevailing rate, currently 20%).
  • We provide access to the space and community in return for you paying your Membership Fee and appropriate hiring costs.
  • Please keep your payment details up to date on the members system.
  • Your Membership is personal to you and is not transferable to another person. If you have a guest who would like to visit for a day, a week or longer, they are more than welcome, but please let us know and we can get them set up with their own Membership.
  • If you would like to cancel your monthly Membership, please provide one month’s notice. Annual Membership can be cancelled a month prior to your renewal date.
  • We may cancel your Membership at any time if you breach these Conditions.

GENERAL Where your Membership entitles you to access the hot desk space, this is a licence to use the space, and does not give you an exclusive right to any part of the space. You are responsible for ensuring that the space meets your needs and we make no warranties or representations that the space is suitable for the purpose you intend to use it for. We are giving you the right to share with us the use of certain space so that we can provide a services to you. The whole of the space remains in our possession and control. Notwithstanding anything in these Conditions to the contrary, you and We agree that our relationship is not that of landlord-tenant or lessor-lessee and these Conditions in no way shall be construed as to grant you any title, easement, lien, possession or related rights to the space or anything contained within our premises.

Sometimes events happen that are out of our control. These include things like accidents, war, fire, power outages, internet downtime, the supply by third parties of equipment or services, pandemic, epidemic or otherwise. Such events may prevent us from providing you with access to the space, providing the services in whole or in part, or may prevent you from performing your obligations under these Conditions. In such cases both parties agree that the other party will not be liable for any delay or failure in performing their obligations, including the loss of data.

You agree that you not an employee of Derby Museums. You are responsible for complying with all laws, taxes, rules and regulations that apply to your work. The Prospect and MoM workshop is a collaborative workspace. Due to the shared nature of the space, sensitive information may sometimes be overheard. In these circumstances you agree to respect the right of privacy and confidentiality of other members.

We maintain a public liability insurance policy that covers the space and we carry our own contents insurance. Our contents insurance does not extend to your property. You should make your own insurance arrangements to ensure that your property and any other liabilities are covered. We do not accept responsibility for loss or damage to any of your property left unattended or unsecured in the space.

Our total liability to you shall not in any circumstances exceed the total Membership Fees paid by you to Us under these Conditions in the twelve (12) months prior to any such claim arising. We shall not be liable for any indirect, special, incidental, consequential costs or losses, or any loss of profits, loss of sales or business, loss of agreements, contracts, loss of use or corruption of software, data or information, loss of or damage to goodwill or business interruption.

Derby Museums take customer information seriously. We safeguard our customer data to the best of our abilities by using GDPR compliant systems. We do not share customer information with any 3rd party without explicit authorisation from the individual.

You are responsible to keep your own customer data safe. You will be working in an open space, so it is your responsibility to secure your laptop / personal information / paperwork according.

We may amend these Conditions at any time. If we choose to do so, we will give you reasonable notice.

These Conditions and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by, and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out.
